BarterAds — Terms & Conditions

By creating an account, integrating the SDK, or using BarterAds in any manner, you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree, do not use the service.

Use of BarterAds is subject to our Privacy Policy. Users must comply with applicable data protection and privacy laws, including obtaining valid user consent where required.

1. Definition of the Service

BarterAds is a Barter-Dollar-based advertising exchange platform that enables publishers and advertisers to exchange advertising exposure using Barter Dollars rather than money.

BarterAds:

• Is not a cash advertising platform
• Is not a payment processor
• Is not a financial service
• Is not a stored-value or wallet system

Barter Dollars:

• Have no monetary value
• Are not currency
• Are not redeemable
• Are not transferable
• Do not represent ownership, equity, or rights

2. Eligibility & Account Ownership

You must:

• Be a business, developer, or legally authorized representative
• Own or control the app or website where BarterAds is installed
• Provide accurate and truthful information

You may not:

• Create multiple accounts to game the system
• Misrepresent ownership or traffic
• Resell or sublicense BarterAds access

BarterAds reserves the right to:

• Verify ownership
• Suspend or terminate accounts at any time
• Deny or suspend access at our discretion, including for fraud prevention, policy violations, or legal compliance.

You are responsible for ensuring that your use of BarterAds, including SDK integrations, complies with applicable privacy and data protection laws. This includes implementing appropriate consent mechanisms (e.g., CMP) where required.

3.1 Nature of Barter Dollars

BarterAds Dollars are internal accounting units used solely within BarterAds.

BarterAds:

• Cannot be sold, traded, transferred, or redeemed
• Cannot be withdrawn
• Cannot be exchanged for money, crypto, goods, or services
• Do not constitute stored value or prepaid balance

3.2 Earning Barter Dollars

Barter Dollars are earned only when:

• Ads are served according to platform rules
• The app or site is active, compliant, and approved
• Traffic is deemed valid by BarterAds systems

BarterAds may:

• Delay crediting
• Adjust Barter Dollar counts
• Retroactively revoke Barter Dollars

3.3 Spending Barter Dollars

Barter Dollars may be spent only within BarterAds to promote ads.

Spending Barter Dollars does not guarantee:

• Impressions
• Clicks
• Installs
• Conversions
• ROI

4. Barter Dollar Expiry & Forfeiture

Barter Dollars may:

• Expire after inactivity
• Be capped
• Be reset or reduced
• Be forfeited upon account suspension or termination

Unused Barter Dollars have no residual value.

5.1 Active Apps

Active and compliant apps may:

• Display ads
• Earn Barter Dollars
• Spend Barter Dollars

5.2 Suspended or Restricted Apps

Apps that are suspended, under review, restricted, or billing-disabled may continue displaying ads at BarterAds’ discretion but will not earn Barter Dollars. This is intentional and non-compensable.

5.3 Deleted or Removed Apps

Deleted or removed apps cannot earn Barter Dollars or promote ads and may be permanently blocked.

6. Ad Delivery & Performance Disclaimer

Ad delivery is best-effort only. BarterAds does not guarantee fill rate, impression volume, targeting accuracy, campaign success, or revenue equivalence. Delivery depends on supply/demand imbalance, network health, targeting constraints, system logic, and compliance status.

BarterAds does not guarantee economic value equivalence of Barter Dollars to any monetary value.

7. Ad Content Responsibility

You are solely responsible for ad creatives, landing pages, and compliance with all applicable laws, including advertising, privacy, and consumer protection laws. BarterAds may, but is not obligated to, review, reject, or remove ads at any time.

8. Prohibited Content & Use

Strictly prohibited: illegal or deceptive ads, adult content, gambling, drugs, weapons, malware, incentivized impressions without disclosure, hidden placements, and artificial traffic. BarterAds may remove ads without notice.

Use of the platform in violation of applicable privacy or data protection laws, including failure to obtain required user consent, is strictly prohibited.

9. Fraud, Abuse & Enforcement

BarterAds has a zero-tolerance policy for fraud, including impression farming, self-serving, emulator traffic, and SDK tampering. Enforcement actions include Barter Dollar wipe, immediate suspension, and permanent ban. BarterAds’ determination is final.

BarterAds reserves the right to audit traffic, investigate activity, and reverse or claw back Barter Dollars where activity is invalid, fraudulent, or non-compliant.

10. Targeting & Data Usage

Targeting is based on declared metadata, contextual signals, and inferred categories; no precision is guaranteed. BarterAds does not sell personal data and uses anonymized data for analytics and fraud detection.

All data usage is subject to user consent signals and applicable privacy laws. BarterAds may limit functionality or data usage based on such signals.

11. Subscriptions & Paid Plans

Paid plans unlock features but do not guarantee performance or convert Barter Dollars to money. All fees are billed in advance and are non-refundable. Failure to pay may result in downgrade or suspension.

12. Taxes

BarterAds acts as a platform facilitating the exchange of advertising value between participants. BarterAds does not provide tax advice. Each user is solely responsible for determining and complying with any applicable taxes, duties, or government charges (including GST, VAT, or similar taxes) arising from their use of the platform, in accordance with their local laws.

13. Intellectual Property

You retain ownership of your content but grant BarterAds a non-exclusive, worldwide license to display, distribute, and optimize ads within the network. BarterAds retains full ownership of its platform, algorithms, and data models.

14. Suspension & Termination

BarterAds may suspend or terminate accounts for any reason at its sole discretion. Upon termination, Barter Dollars are forfeited, access is revoked, and no compensation is owed.

15. No Warranty

BarterAds is provided “as is” and “as available” without any warranties regarding availability, accuracy, reliability, or performance.

16. Service Availability

BarterAds is provided on an “as available” basis. Service availability, performance, and features may change, degrade, or be interrupted at any time without notice.

17. Limitation of Liability

To the maximum extent permitted by law, BarterAds is not liable for indirect damages. Liability is capped at fees paid in the previous 3 months. Free users have zero liability coverage.

BarterAds is not liable for data loss, traffic discrepancies, attribution differences, or consent-related implementation failures by users.

18. Indemnification

You agree to indemnify BarterAds against any legal claims, regulatory action, or disputes arising from your content or use of the service.

19. Governing Law & Jurisdiction

These Terms are governed by the laws of New South Wales, Australia. All disputes must be resolved exclusively in NSW courts.

20. Changes to Terms

BarterAds may update these Terms at any time. Continued use constitutes acceptance.
